File Service Disclaimer

Trade file services
This disclaimer applies to remote ECU / gearbox / related file processing via the dealer portal on apexfiles.co.uk (and linked tools). It is in addition to the Terms of Service, Acceptable Use and Privacy Policy.
Services are provided by Stephen Michael Mornington, a sole trader trading as Apex Vehicle Solutions ("I", "me", "my"). I am not a limited company and not any third-party company with a similar name.
By uploading a file, spending credits, or requesting a file job, you confirm you have read and accept this disclaimer.
1. Nature of the service
The file portal provides remote processing of calibration / ECU-related files (for example Stage maps, options, gearbox-related files where offered). Typical flow:
- You upload an original (or agreed) file and job details;
- Credits or fees are applied as shown in your account;
- The file is processed and returned for you to download;
- You (or your workshop) write/flash the file to the vehicle using your own tools and competence.
This is not the same as a mobile visit. Mobile remapping / diagnostics on site are separate services under the main Terms.
2. Who the portal is for
- Intended for trade users (dealers, remappers, workshops) with suitable tools, training and processes.
- Not a consumer “buy a file and flash at home” product for private drivers without trade capability.
- Accounts may require approval. Access can be suspended for misuse.
3. Your responsibilities
You are responsible for:
- Confirming you have the right to process the vehicle and file data;
- Supplying correct vehicle identification, software version and job options;
- Reading, writing and verifying files with appropriate hardware and procedures;
- Checksums, recovery, bench/boot methods and immobiliser precautions where needed;
- Road testing and validation after flashing;
- Compliance with law in your jurisdiction (including emissions and type-approval rules where they apply);
- Telling the vehicle keeper about insurance and warranty implications;
- Keeping the portal login secure and not sharing it outside your authorised staff.
4. Risks you accept
ECU and related file work involves inherent risk, including:
- Brick / failed flash, incomplete write, or need for recovery;
- Drivability issues, limp mode, DTCs or component stress;
- Incompatibility with hardware, tuning boxes, DPFs, exhaust or gearbox state;
- Conflicts with existing maps, clones or prior modifications;
- Data loss if originals are not backed up;
- Vehicle downtime and associated costs.
You proceed with each job in knowledge of these risks. If you are not competent to manage them, do not use the portal — use a qualified on-vehicle service instead.
5. No guarantees
Unless expressly agreed in writing for a specific job, I do not guarantee:
- Specific power, torque or fuel-economy figures;
- That every ECU, version or option can be supported;
- That a file will be accepted by every tool or vehicle state;
- Any particular turnaround time (estimates are not SLAs unless written);
- Fitness for motorsport, export markets or modified hardware beyond what was described in the job;
- That a manufacturer, dealer or insurer will accept the modification.
6. Road use, emissions, insurance, warranty
- Road legality & emissions: Modified calibrations may affect emissions, noise and compliance. You must not use a file in a way that breaks applicable law. You are responsible for the vehicle’s legal use after flashing.
- Insurance: Modifications often need declaring. Failure to inform an insurer can invalidate cover. That is the keeper’s / your customer’s responsibility to address.
- Warranty: Manufacturer or dealer warranties may be reduced or refused after tuning. No warranty retention is promised.
- Motorsport / off-road: Files described for track or off-road use must not be used on public roads where that would be unlawful.
7. Technical limits
- Support depends on the file quality, read method and information you provide.
- Corrupt, incomplete or mislabelled reads may be rejected or produce unusable results.
- Some options (e.g. emissions-related disables) may be refused where I am not willing to process them.
- I may request a new read, more details, or cancel a job that cannot be done safely.
8. Backups and originals
- Always keep your own secure copy of the original file before flashing.
- Portal storage is for service delivery — not a long-term archive guarantee.
- Download and store completed files promptly.
- If you lose a file, re-processing may require a new job and credits.
9. Credits, refunds and declined jobs
- Credits and prices are as shown at purchase or in the account ledger.
- Jobs already processed or in late stages of processing are generally not refundable except for clear non-delivery or my error, or where law requires.
- If a job is declined as unsupported or non-compliant, credits may be returned or not taken, as indicated at the time.
- Chargebacks used in bad faith after successful delivery may lead to account closure and recovery action.
10. Liability
Nothing in this disclaimer excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under English law. Consumer rights remain where you lawfully deal as a consumer (file portal is primarily trade).
Subject to that, and to the Terms:
- I am not liable for loss of profit, business, goodwill, or indirect/consequential loss;
- I am not liable for damage arising from incorrect flashing, wrong vehicle selection, poor reads, third-party tools, or work by others;
- I am not liable for insurer, manufacturer or MOT / test station decisions;
- For business/trade users, total liability for a file job is limited to the amount paid or credits spent on that job, unless a written agreement states otherwise.

Summary
Remote file work is for competent trade users. You flash and validate the vehicle. Risks of tuning, legality, insurance and warranty sit with you and the vehicle keeper. No promise of specific power figures or every ECU supported. Portal: apexfiles.co.uk.
