Terms of Service

These Terms of Service ("Terms") govern use of the websites, portals and services operated by Stephen Michael Mornington, a sole trader trading as Apex Vehicle Solutions ("I", "me", "my"; and where the site says "we", "us" or "Apex", that means the same sole trader).
I am not a limited company and I am not any third-party company that may use a similar name (including any "Apex Vehicle Solutions" limited company that is not me).
By using the sites or services, creating an account, submitting a booking or file job, or applying as a technician, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the services.

2. What these Terms cover
These Terms apply to:
- apexvehiclesolutions.co.uk — public site, information, coverage tools, bookings and related portals hosted or linked there;
- apexfiles.co.uk — dealer / trade ECU file portal, credits and file jobs;
- customer, dealer, technician and staff accounts on the platform;
- mobile attendance services (e.g. remapping, diagnostics, coding, locksmith) arranged through the platform or by agreement;
- technician applications and field job assignment tools.
Some services also have product-specific rules (for example ownership checks for locksmith work, or file service disclaimers). Those apply in addition to these Terms. See also Acceptable Use, File service disclaimer and Ownership / security policy.
3. Accounts and roles
3.1 Registration
You must provide accurate information and keep it up to date. You are responsible for keeping login details confidential and for activity under your account. Tell me promptly if you suspect unauthorised access.
3.2 Roles
- Customer — book and manage mobile visits and related account features.
- Dealer — trade access to the ECU file portal (typically apexfiles.co.uk), credits and file jobs. Dealer access may require approval.
- Technician — field portal after application approval and account activation.
- Staff — internal operational access only as authorised by me.
3.3 Suspension
I may suspend or terminate accounts that breach these Terms, create security risk, involve suspected fraud or crime, or are inactive for a long period. Where reasonable I will explain why, unless law or security prevents that.
4. Mobile vehicle services (drivers / customers)
4.1 Nature of work
Mobile services may include ECU remapping, advanced diagnostics, coding/programming, gearbox-related work where offered, and auto locksmith services. Scope, price and timing are as quoted or confirmed for each booking. Work is performed with professional care and skill, but outcomes can depend on vehicle condition, prior modifications, manufacturer limits and information you provide.
4.2 Your responsibilities
- You have authority to authorise work on the vehicle (owner or with owner consent).
- You provide accurate vehicle, location and contact details.
- The vehicle is safe to work on and accessible at the agreed place and time.
- You disclose known faults, prior tuning, immobiliser/security issues and warranty concerns.
- You comply with road traffic and insurance obligations for any modified vehicle.
4.3 Bookings and attendance
Bookings may be confirmed online or by message/phone. I (or an assigned field technician) will attend as arranged where reasonably possible. Travel, access problems, unsafe conditions or incomplete information may delay or cancel attendance. Coverage tools show approximate network availability; they are not a guarantee of a specific person or time until confirmed.
4.4 Technician assignment
Jobs may be auto-matched by postcode radius and skills, or assigned manually. Assignment can change for operational reasons. The person who attends remains bound to deliver the agreed service standards under these arrangements.
4.5 Locksmith and security work
Security-sensitive work is only carried out after reasonable ownership / authority checks. I may refuse or stop work if checks fail or if illegality is suspected. See the ownership / security policy.
4.6 Performance / remap risks
Tuning and related work can affect emissions, insurance, manufacturer warranty and legality for road use. You are responsible for deciding whether to proceed and for telling your insurer where required. I do not guarantee manufacturer warranty retention or specific power/economy figures unless expressly agreed in writing for that job.
5. Dealer / ECU file portal (apexfiles.co.uk)
5.1 Trade only
The file portal is intended for trade users (dealers / remappers) with appropriate competence to read, write and validate files on vehicles. It is not a consumer “download and flash” retail product for private drivers without trade capability.
5.2 Credits and jobs
- Credits or fees are as shown at purchase or in your account.
- File jobs require accurate vehicle/file information and compliance with acceptable use.
- Turnaround times are estimates unless a specific SLA is agreed in writing.
- Completed files are for the stated vehicle/context; misuse is at your risk.
5.3 Your obligations (dealer)
- You have the right to process the files and vehicle data you upload.
- You perform flashes and vehicle work competently and legally.
- You keep backups of original files.
- You do not use the portal for stolen vehicles, fraud or unlawful modification requests.
5.4 No guarantee of every platform
Not every ECU or option can be supported. A job may be declined or partially completed with an explanation and, where fair, credit adjustment.
6. Field technicians
Applying does not guarantee approval. If approved and activated, you get portal access for assigned jobs. You must:
- Maintain accurate skills, coverage, contact and insurance/qualification information you have represented;
- Only accept work you are competent and equipped to perform;
- Treat customer data as confidential and use it only for the job;
- Update job status honestly (e.g. accepted, en route, on site, completed);
- Comply with law, road safety and any written quality standards I issue;
- Not misrepresent yourself as a limited company you do not control.
Engagement may be as a subcontractor / self-employed arrangement unless a separate written contract says otherwise. These Terms do not by themselves create employment. Either party may end the field arrangement as allowed by any separate agreement or reasonable notice for operational reasons, subject to unfinished customer obligations.
7. Prices, quotes and payment
- Prices may be listed online, quoted individually, or calculated with travel.
- Unless stated otherwise, prices are in GBP and may be inclusive or exclusive of VAT — VAT only applies if I am VAT-registered and state that I am.
- Payment may be taken online (e.g. Stripe), by invoice, or as otherwise agreed.
- Dealer credits are for portal use as described and are generally non-transferable.
- You authorise the selected payment method for the amounts confirmed at checkout or on invoice.
I may refuse service if payment fails, fraud is suspected, or required information is missing.
8. Cancellation and refunds
8.1 Consumers (UK)
If you are a consumer, you may have rights under the Consumer Rights Act 2015 and, for some distance contracts, the Consumer Contracts Regulations 2013. For services that have been fully performed with your agreement, or for custom digital files produced to your specification after you asked me to start, cancellation/refund rights may be limited once work is complete. I will explain cancellation windows for bookings where they apply (for example notice before a booked slot).
8.2 Missed appointments
If you are not present or the vehicle is inaccessible without reasonable notice, a call-out or wasted-journey charge may apply as stated in the quote or booking terms.
8.3 Dealer credits / file jobs
Unused credits may be refundable only where required by law or where I agree in writing. File jobs already in process or completed are generally not refundable except for clear non-delivery or my error, at my reasonable discretion or as required by law.
9. Intellectual property and files
- Site content, branding and software are owned by me or licensors. You may not copy them for commercial use without permission.
- You retain rights in original files you upload, and grant me a licence to process them to deliver the service.
- Tuned or processed files are licensed to you for the intended vehicle/use; redistribution or resale of portal outputs may be restricted.
- You must not reverse engineer the platform except where the law allows.
10. Acceptable use
You must not:
- Use the services for crime, fraud, or work on vehicles without authority;
- Upload malware or attempt to breach security;
- Abuse staff, technicians or other users;
- Scrape the site or overload systems;
- Misuse coverage or mapping tools to harass technicians;
- Breach the Acceptable Use or file/ownership policies.
11. Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited under English law.
Subject to that:
- I am not liable for loss of profit, loss of business, loss of data (beyond reasonable restore efforts), or indirect/consequential loss;
- I am not liable for manufacturer warranty decisions, insurer decisions, or failures caused by pre-existing vehicle faults, third-party parts, or work done by others;
- For consumers, services must meet statutory standards; remedies follow consumer law;
- For business customers (including dealers), my total liability arising out of any job or contract is limited to the amount paid for that job or the credits spent on that file job, unless a written agreement states a higher cap;
- I am not liable for delays caused by events beyond reasonable control (including traffic, weather, vehicle inaccessibility, supplier outages).
12. Consumer rights (UK)
If you deal as a consumer, your statutory rights are not affected by anything that would unlawfully reduce them. Business/trade terms (including dealer portal use) may apply different standards where the law allows.
13. Governing law
These Terms are governed by the law of England and Wales. Courts of England and Wales have exclusive jurisdiction, except that consumers may also benefit from mandatory protections of their home UK nation where applicable.
14. Changes
I may update these Terms from time to time. The "Last updated" date will change. Continued use after changes means you should review the new Terms. For material changes affecting paid ongoing services, I may notify account holders where reasonable.
